NDA Review Checklist Template Prompt
Non-disclosure agreements look alike and rarely are. This prompt walks an NDA through the points that actually matter — what counts as confidential, for how long, who may receive it, what happens at the end — and flags the ones that are missing or unusually drafted.
How to Use the Prompt:
- The NDA to review: paste the full text, including any schedules.
- Your role: say whether you are disclosing, receiving, or both. A mutual NDA hides asymmetries that only appear once you pick a side.
- The context: a due diligence process, a supplier onboarding and an employee agreement call for different levels of strictness.
Benefits of Using this Prompt:
- The usual traps get named: perpetual confidentiality, undefined recipients, no carve-out for information already known.
- Silence becomes visible: what an NDA does not say is often more important than what it says, and it is exactly what reading misses.
- Comparable reviews: every NDA is measured against the same checklist, so two agreements can actually be compared.
- Time back on routine documents: NDAs are frequent, low-value and still need to be read properly.
- A defensible trail: the checklist shows what was examined and on what basis.
An NDA at a time is manageable. An archive of signed NDAs, with the question «which of these let us share this data with a subcontractor?», is not something a prompt can answer.
